PLEASE READ THESE TERMS OF USE CAREFULLY. By accessing or using vegan.co.uk, including our website, mobile app, or any related services (collectively, the “Service”), you agree to be legally bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms form a binding legal agreement between you and vegan.co.uk (“we,” “us,” or “vegan.co.uk”).

1. The Service “vegan.co.uk” is an online marketplace that connects sellers of vegan products with buyers. Sellers may list, promote, and sell products that strictly comply with our vegan definition. Buyers may browse, purchase, and review those products. We provide the platform technology, payment facilitation (via third-party processors), and community tools, but we are not a party to any sale between buyers and sellers.

2. Definitions

• Vegan Products: Items that (i) contain zero animal-derived ingredients (including but not limited to meat, dairy, eggs, honey, gelatin, lanolin, silk, wool, leather, fur, or any by-products), (ii) are not tested on animals at any stage of development or production, and (iii) are produced without any form of animal exploitation. This applies to food, cosmetics, clothing, home goods, crafts, and any other category offered on the Platform.
• Seller: Any user who lists or sells products on the Platform.
• Buyer: Any user who browses or purchases products.
• User Content: Listings, photos, descriptions, reviews, messages, and any other content you post.

3. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. Businesses must be validly organized and in good standing. By using the Service, you represent that you meet these requirements.

4. Accounts and Security You must create an account to sell or make purchases over certain amounts. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts at our discretion.

5. Vegan Product Policy – Strict Requirement All products listed or sold on vegan.co.uk must qualify as Vegan Products as defined above.

• Sellers must accurately certify at the time of listing that every item meets this standard.
• You may not list, promote, or sell any non-vegan item, even as part of a bundle.
• We reserve the right (but have no obligation) to review listings and remove any product that, in our sole judgment, does not meet the vegan standard.
• Repeated violations could result in immediate account termination and the potential forfeiture of any outstanding payments.
• Buyers who discover a product is not truly vegan may request a full refund through our dispute process; sellers are responsible for such refunds.

6. Seller Obligations

• Provide accurate, complete, and non-misleading listings (photos, descriptions, materials, origin, shipping details).
• Comply with all applicable laws (including consumer protection, labeling, and tax laws).
• Ship items promptly and in the condition described.
• Handle customer service and returns in accordance with your own return policy (which must be clearly stated on your account page or on the listing page).
• Pay all applicable fees and taxes.
• You are the seller of record; vegan.co.uk is not the seller.

7. Buyer Obligations

• Provide accurate payment and shipping information.
• Review seller policies before purchase.
• Contact the seller first for any issues; use our dispute resolution tools only if needed.
• You agree that all purchases are final except as provided in the seller’s return policy or our vegan guarantee.

8. Transactions and Payments All payments are processed through third-party payment providers (e.g., Stripe, PayPal). We are not responsible for their service or any delays. Title and risk of loss pass from seller to buyer upon shipment (unless otherwise stated). vegan.co.uk facilitates the transaction but does not hold inventory or guarantee delivery.

9. Fees and Commissions

• Sellers pay a transaction fee of [X]% of the sale price (plus any applicable payment processing fees) on every completed sale.
• Optional listing fees, featured listing fees, or subscription plans may apply as published in our Fee Schedule (available in your Seller Dashboard).
• Fees are non-refundable except as expressly stated.
• We may change fees with 30 days’ notice.

10. Prohibited Conduct You may not:

• List or sell non-vegan, illegal, counterfeit, infringing, hazardous, or recalled items.
• Engage in fraud, misrepresentation, or manipulation of reviews or search rankings.
• Harass, threaten, or impersonate others.
• Use the Platform for spam, pyramid schemes, or multi-level marketing.
• Violate any intellectual property, privacy, or export-control laws.
• Scrape, data-mine, or use automated tools to access the Platform without permission.

We may remove content, issue warnings, suspend, or permanently ban users for violations.

11. Intellectual Property

• You retain ownership of your User Content but grant us a worldwide, royalty-free, non-exclusive, transferable license to display, promote, and distribute it on the Platform and in marketing materials.
• You represent that your listings do not infringe third-party rights.
• vegan.co.uk owns all Platform content, logos, design, and trademarks. You may not use them without permission.

12. Reviews and Feedback Reviews must be honest and based on actual experience. We may remove reviews that violate our guidelines.

13. Privacy Your privacy is important. Please review our separate Privacy Policy, which is incorporated by reference.

14. Disclaimers and Limitations of Liability THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that products are vegan (that is the seller’s responsibility), that transactions will be error-free, or that the Platform will be uninterrupted.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEGAN.CO.UK'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (ii) $100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY SELLER/BUYER DISPUTES.

15. Indemnification You agree to indemnify, defend, and hold harmless vegan.co.uk, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (i) your use of the Service, (ii) your listings or sales, (iii) your violation of these Terms, or (iv) your infringement of third-party rights.

16. Termination We may terminate or suspend your account at any time, with or without cause, and with or without notice. Upon termination, you must cease using the Service and any outstanding fees remain payable. Sections that by their nature should survive (liability, indemnification, IP, governing law) will survive.

17. Dispute Resolution Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in [Your Chosen City, State/Country] under the rules of [Arbitration Provider, e.g., American Arbitration Association], except that you may bring claims in small-claims court if eligible. You waive the right to a jury trial or class-action participation.

• If any provision is held invalid, the remainder remains in effect.
• No waiver of any breach shall constitute a waiver of any other breach.
• You may not assign these Terms without our prior written consent. We may assign freely.
